These Terms of Service (the Terms) are a subscription agreement between Mage Technologies Inc. (Mage, we, us) and the business that subscribes to Mage Accounting (the Customer, you). Please read them carefully. They limit our liability (section 18) and explain what you remain responsible for under the tax laws (section 5).

About us. Mage Technologies Inc. is a corporation registered with the Securities and Exchange Commission under SEC Registration No. 2022100072730-20, with its principal office at Block 21 Lot 11 Mapagmahal St., Fiesta Communities, Brgy. Balon Anito, Mariveles, Bataan 2105, and Taxpayer Identification Number 010-713-436-00000. "Mage Accounting" is the name of our software service. Contact: support@magetechsystems.com · +63 920 472 9279.

1. Accepting these Terms

1.1 How you accept. You accept these Terms when a person with authority to bind the Customer (a) signs an order form or quotation that refers to these Terms (an Order Form), or (b) ticks the acceptance box and clicks I agree when signing in to Mage Accounting for the first time. We keep an electronic record of who accepted, when, and which version of the Terms they accepted.

1.2 Electronic acceptance is binding. Under the Electronic Commerce Act of 2000 (Republic Act No. 8792), Sections 7, 8 and 16, a contract may be formed by electronic means, and an electronic record or electronic signature has the same legal effect as a written document or signature. You agree not to dispute these Terms on the ground that they were accepted electronically.

1.3 Authority. The person who accepts confirms that they are authorised to bind the Customer. If you keep books for other businesses (for example, as a bookkeeper), you confirm that you have the authority of each of those businesses to add its books to Mage Accounting and to give us the instructions in the Data Processing Addendum on its behalf.

1.4 Users. Each person who signs in (a User) must also follow sections 6 (Roles), 8 (Acceptable use) and the Privacy Policy. The Customer is responsible for its Users.

1.5 Other documents that form part of this agreement. The Order Form (if any), these Terms, the Data Processing Addendum (the DPA) and the Sub-processor list. The Privacy Policy, Disclaimers and Notices and Cookies and Browser Storage notice explain how the service works and should be read with these Terms. If they conflict: the Order Form prevails on commercial terms, the DPA prevails on personal data, and these Terms prevail on everything else.

2. Definitions

In these Terms:

  • Service means Mage Accounting: the hosted web application at accounting.magetechsystems.com, its features, and any related support we provide.
  • Company means a business whose books are kept in the Service. A Customer may have one or more Companies.
  • Customer Data means everything the Customer and its Users enter into or upload to the Service: transactions, contacts, employees and payroll, tax profile answers, opening balances, uploaded files, support tickets, and the records the Service produces from them.
  • Personal Data means personal information and sensitive personal information as defined in the Data Privacy Act of 2012 (Republic Act No. 10173, the Data Privacy Act), Section 3.
  • Outputs means what the Service produces from Customer Data: books-of-accounts pages, journals and ledgers, reports, financial statements, filled BIR forms and returns, BIR Forms 2307 and 2316, DAT files, worksheets, statements of account and exports.
  • Support Access means a Mage staff member signing in as one of your Users to help you, as described in section 9.
  • Fees means the amounts payable for the Service under section 10 and the Order Form.
  • Subscription Term means the period in section 13.1.
  • BIR means the Bureau of Internal Revenue; RDO means the BIR Revenue District Office where a Company is registered; ORUS means BIR's Online Registration and Update System.
  • Business Day means a day other than a Saturday, Sunday or a regular or special non-working holiday in the Philippines.

3. The Service

3.1 What we provide. During the Subscription Term we grant the Customer a non-exclusive, non-transferable right for its Users to use the Service for the internal business purposes of its Companies, in line with these Terms.

3.2 What the Service does. The Service helps you record transactions and payroll, keep double-entry books, and prepare BIR returns, certificates and DAT files for you to review, sign, file and pay yourself. It does not file returns, pay taxes, submit DAT files, or issue invoices to your customers on your behalf. The features available to you are described in the Service itself and in the Order Form.

3.3 Changes to the Service. We improve the Service continually and may add, change or remove features. We will not materially reduce the core functions you subscribed to (recording transactions, keeping books, preparing the supported returns and exports) during a paid Subscription Term. If we must remove a core function (for example, because BIR changes a form or rule), we will tell you in advance where we can, and you may end the subscription under section 13.4.

3.4 Beta and preview features. Features we label "beta", "preview" or similar are provided for evaluation, may change or be withdrawn, and are excluded from any service commitment.

3.5 Availability. We aim to keep the Service available at all times, but it may be interrupted for maintenance, updates, or reasons outside our control. We do not promise uninterrupted or error-free operation.

4. Accounts and access

4.1 No self sign-up. Mage sets up each Company and each User's sign-in. Tell us in writing (through a support ticket or by email) when someone should be added, given a different role, or removed. You are responsible for telling us promptly when a User leaves or should lose access.

4.2 Sign-in security. Each User must keep their password, authenticator app and recovery codes secret, must not share a sign-in, and must tell us at once if they suspect someone else has used it. Two-factor sign-in (an authenticator app with recovery codes) is available to every User and is required for owners, admins and Mage staff when the platform's two-factor setting is on, which it will be before your first Company is set up.

4.3 Sessions. Sign-ins last up to 7 days and can be ended by us at any time. Password reset links expire after 30 minutes and sign the User out everywhere.

4.4 Suspected misuse. We may suspend a User's access straight away if we reasonably believe their sign-in has been compromised or is being misused, and will tell the Customer as soon as we can.

5. Your responsibilities under the tax and accounting laws

You remain fully responsible for your own tax compliance and books of accounts. In particular, the Customer is responsible for each of the following, for each of its Companies:

5.1 Review, sign, file and pay. Reviewing every figure in every Output before relying on it; signing each return and certificate; filing returns and submitting DAT files and other attachments through BIR's own channels (such as eBIRForms, eFPS, eAFS or the channel BIR prescribes); paying taxes through BIR's authorised channels; and doing all of this on time. Recording a filing as "submitted" in Mage does not file anything with BIR.

5.2 Validate DAT files. Running every DAT file through BIR's own validation modules (for example, the RELIEF and Alphalist Data Entry and Validation modules) before submitting it, and correcting any errors. Validation results we publish for our fictional sample company do not validate your files.

5.3 Keep your registered books. Keeping the books of accounts the National Internal Revenue Code (Sections 232 and 233) and BIR regulations require, in the form registered with BIR for each Company:

  • Manual books: writing each period's entries into your registered manual books;
  • Loose-leaf books: holding BIR's Permit to Use loose-leaf books before printing and using them, printing pages in the form BIR requires, and binding the printed pages and registering them with BIR within 15 days after the end of each taxable year (RMO 9-2021; RR 7-2024); or
  • Computerised books: if you use Mage Accounting itself as your computerised books of accounts, obtaining an Acknowledgment Certificate from your RDO or through ORUS before you start (RMO 9-2021; RMC 65-2025). BIR does not accredit or approve accounting software; it acknowledges each taxpayer's system. Mage will supply the system description and sign the joint sworn statement that RMO 9-2021 requires on request, on terms agreed in writing. Customers who keep manual books, or loose-leaf books under a Permit to Use, do not need an Acknowledgment Certificate.

Ask your RDO which of these applies to you. Mage does not decide this for you.

5.4 Accuracy of inputs. The accuracy and completeness of everything you enter or import, including transactions, tax profile answers, opening balances, contact details, ATC codes and rates you choose or override, employee details, and classifications. Outputs are only as accurate as these inputs. Where the Service leaves a figure blank because it cannot be known from your records, you must complete it.

5.5 Certificates to payees and employees. Issuing BIR Forms 2307 to payees and Forms 2316 to employees within the periods the rules require, signed, and keeping proof that you did. The Service prepares these forms unsigned; it does not send them for you.

5.6 Statements of account are not invoices. Statements of account and other documents the Service produces are not invoices or official receipts under the Tax Code or RR 7-2024, and must not be issued or used as such. You must issue invoices through your own BIR-registered invoicing method.

5.7 Records retention. Keeping your own copies of your books, returns, certificates, proof of filing and payment, and supporting documents for the periods the law requires. The Service is not a records-retention service. Export what you need before your subscription ends (section 14).

5.8 Due dates. Knowing and meeting your filing and payment deadlines. See section 7.

5.9 Your people's data. Having a lawful basis under the Data Privacy Act to put your employees', payees', contacts' and other people's personal data into the Service, and giving them any notice the law requires. See the DPA.

5.10 Roles. Choosing who gets which role. See section 6.

6. Roles

6.1 Each User has one of three roles in each Company:

  • Owner: can do everything an admin can, and is the only role that can void a posted transaction.
  • Admin: can record and post transactions and payroll, manage contacts and settings, save and amend filings, and see the Support Access log.
  • Member: can view the Company's records, reports and previews, and file support tickets, but cannot post, change or save anything.

6.2 Every role, including Member, can see all of a Company's records, including payroll, employee government ID numbers and compensation. Give access only to people who need it.

6.3 We change roles only on a written request from an owner of the Company (or from the Customer's authorised representative). Each Company must keep at least one owner.

7. No advice; due dates are aids

7.1 No tax, accounting or legal advice. Mage Accounting is software. Nothing in the Service, its help text, our website, our support replies or anything our staff say is tax, accounting, legal or other professional advice, and no professional-client relationship is created. Consult your own certified public accountant, tax agent or lawyer for advice on your situation.

7.2 Not an accounting firm. Mage Technologies Inc. is a software provider. It is not registered to practise public accountancy and does not render accounting, auditing, bookkeeping or tax services (Republic Act No. 9298, the Philippine Accountancy Act of 2004). It is not an accredited tax agent and does not prepare, sign or file returns for you.

7.3 Not affiliated with BIR. Mage is not affiliated with, endorsed by or acting for the Bureau of Internal Revenue. BIR does not accredit or approve accounting software, and nothing we say means that BIR has approved Mage Accounting or any Output.

7.4 Due dates are aids. The tax calendar and due dates in the Service are reminders only. They follow the general manual-filing deadlines; a deadline that falls on a Saturday or Sunday is moved to the following Monday. They do not account for public holidays, special non-working days, suspensions of government work, staggered eFPS group deadlines, extensions, or other changes BIR announces, and may not list every return or obligation that applies to you. Always check BIR's announcements and issuances. Your deadlines are set by law, not by the Service.

7.5 Tax rules change. We update the Service when we learn of new BIR forms, rates and rules, but there may be a delay. You are responsible for applying the rules in force when you file.

7.6 AI features. Some features use artificial intelligence, including Magica, the in-app assistant, and workbook conversion. AI output is generated automatically and can be wrong, incomplete or out of date, even when it cites a source. Magica's answers to tax and accounting questions are general information drawn from notes we prepare from published BIR, SEC and other official sources; they are not tax, accounting or legal advice, and they do not consider your company's records or circumstances. Check any AI output before you rely on it, and confirm a tax or accounting question with a licensed certified public accountant, or with BIR or SEC, before you act on it. Section 7.1 applies to AI output as it does to the rest of the Service. Questions you ask, images you attach to them, the parts of your company's books Magica reads to answer them (with the asking user's own access) and the content you convert are sent to our AI subprocessor to produce the answer, as the Privacy Policy describes. Magica only reads your books; it does not change them.

8. Acceptable use

The Customer and its Users must not:

  1. use the Service for any unlawful purpose, including to keep false entries, a second set of books, or records meant to mislead BIR or anyone else (National Internal Revenue Code, Section 257);
  2. enter data they have no right to use, or personal data without a lawful basis;
  3. upload malware, or files they are not entitled to share;
  4. try to get into another customer's data, test or bypass security, or probe for weaknesses, except under a written agreement with us;
  5. overload or disrupt the Service, or use automated means to access it other than the features and exports we provide;
  6. copy, decompile, reverse engineer or resell the Service, or use it to build a competing product, except as the law expressly allows;
  7. share sign-ins, or let anyone who is not a User use the Service;
  8. remove or alter the "not affiliated with BIR" and other notices we display; or
  9. present any Output as approved, accredited or certified by BIR.

We may remove content or suspend access that breaches this section (section 12).

9. Support access by Mage staff

9.1 You authorise support access. To help you, Mage staff may sign in to the Service as one of your Users (Support Access). By accepting these Terms you authorise Support Access on the conditions in this section. It is part of the processing you instruct under the DPA.

9.2 Conditions. Every Support Access session:

  1. is started by a Mage platform administrator from Mage's separate administration portal, who must give a reason (for example, your support ticket number);
  2. is view only by default: any change is refused;
  3. allows changes only if the staff member starts a session "with changes" and gives a separate reason for them, normally the support ticket in which you asked for the change;
  4. lasts at most one hour, works only while that staff member's own administration sign-in is active, and cannot change any User's password, email address or two-factor settings; and
  5. is recorded. Owners and admins see every session in Settings → Support access: who, when, both reasons, the areas of the Service opened (not the data viewed) and every change attempted. They are also told in the Service after a session takes place.

9.3 Staff obligations. Only staff who need Support Access to do their work have it; they are bound by confidentiality (section 16) and our internal support access policy.

9.4 If you object. Tell us if you see a session you did not expect. We will investigate and report back to you.

10. Fees and invoicing

10.1 Fees. The Fees, billing period and any setup fees are as stated in the Order Form or our price list at the time you subscribe. Pricing is on request.

10.2 Invoices and payment. We invoice monthly in advance, in Philippine pesos. Invoices are payable within 30 days of the invoice date by bank transfer. We issue invoices that comply with the Tax Code and RR 7-2024 and, when required, electronic invoices.

10.3 Taxes. Fees are exclusive of VAT or percentage tax, as applicable, which will be shown on the invoice. If the law requires you to withhold tax on the Fees, you may deduct it if you give us the BIR Form 2307 for the amount withheld within the period the rules require.

10.4 Late payment. Unpaid amounts that are overdue may bear interest at 1% per month from the due date until paid, and we may suspend the Service under section 12.1(b).

10.5 Fee changes. We may change the Fees for the next renewal by telling you at least 30 days before the renewal date.

10.6 No refunds of Fees already paid, except as stated in sections 3.3, 13.4 and 21.2.

11. Customer Data and privacy

11.1 Our role. For Customer Data that is Personal Data, the Customer (or, if you keep books for other businesses, each of those businesses) is the personal information controller and Mage is its personal information processor. The DPA governs that processing and forms part of these Terms (Data Privacy Act, Section 14; IRR Sections 43 to 45).

11.2 Our own data. For Users' sign-in and security records, people who contact us, and our website, Mage is the personal information controller, as described in the Privacy Policy.

11.3 Where the data is. The Service runs on Cloudflare's infrastructure, and Customer Data is stored and processed outside the Philippines, as described in the DPA and Sub-processor list.

11.4 Government requests. If BIR (for example under Section 5(B) of the National Internal Revenue Code), a court or another authority lawfully requires us to disclose Customer Data, we will tell the Customer before we disclose, unless the law prohibits us, and disclose only what is required.

12. Suspension

12.1 We may suspend some or all access to the Service:

(a) immediately, if needed to prevent a security incident, to protect the Service or other customers, or to comply with the law or a lawful order;

(b) if Fees are overdue by more than 15 days and remain unpaid 10 days after we send a written reminder; or

(c) if the Customer or a User materially breaches section 8 and does not cure the breach within 5 Business Days of our notice (or immediately if it cannot be cured).

12.2 We will limit any suspension to what is reasonably needed and lift it promptly once the reason ends. During a suspension for non-payment, owners can still sign in to export their data (section 14) unless that would breach the law or a lawful order.

13. Term and termination

13.1 Term. The Subscription Term starts on the date in the Order Form (or the date of first acceptance) and lasts for one month, renewing automatically each month until cancelled. Either party may cancel by giving notice of non-renewal at least 30 days before the end of the current period.

13.2 Termination for breach. Either party may terminate by written notice if the other materially breaches these Terms and does not cure the breach within 30 days of written notice.

13.3 Insolvency. Either party may terminate by written notice if the other becomes insolvent, is placed under rehabilitation or liquidation proceedings, or ceases business.

13.4 Customer's right to end for changes. The Customer may terminate on written notice within 30 days after we tell it of a change under section 3.3 or 21.2 that materially reduces the Service or materially affects its rights, and we will refund any prepaid Fees for the period after termination.

13.5 Effect. On termination or expiry, the right to use the Service ends, all unpaid Fees for the period up to termination become due, and section 14 applies. Sections 5, 7, 11, 14 to 20, 22 and 23 survive.

14. Data export and deletion at the end

14.1 Export at any time. During the Subscription Term owners and admins can download each month's books as Excel workbooks, the general ledger and trial balance as CSV, the tax worksheets as CSV or Excel, and each filing's PDF forms, DAT files and saved figures.

14.2 Export window. For 30 days after the Subscription Term ends, we will keep the Customer's Companies available, read-only, to owners so they can export their data, unless the Customer asks us to delete them sooner. On request and for a fee agreed in writing, we can help with an export in another format.

14.3 Deletion. After the export window, we delete the Customer Data from the live Service within 30 days. Copies in our backups are deleted as those backups expire, within 90 days. We may keep data only where the law requires us to, and then only for as long as it requires. On request, we will confirm in writing when deletion is complete.

14.4 Your responsibility. After deletion we cannot recover Customer Data. Export what you need to meet your own record-keeping obligations (section 5.7) before the export window closes.

15. Intellectual property

15.1 You own your data. As between the parties, the Customer owns all Customer Data and the Outputs produced from it. You grant Mage a non-exclusive licence to host, copy, process and display Customer Data only as needed to provide the Service, give support, keep backups, and comply with the law, as set out in the DPA.

15.2 We own the Service. Mage and its licensors own the Service, its software, design, charts of accounts templates, rules, documentation and trademarks (including "Mage" and "Mage Accounting" and their logos), and all improvements to them. No rights are granted except those expressly stated in these Terms.

15.3 Official BIR forms. The Service fills in the official BIR forms, which are works of the Government of the Philippines. Under Section 176.1 of the Intellectual Property Code (Republic Act No. 8293), no copyright subsists in them; we use them unaltered, as issued by BIR, and claim no rights in them.

15.4 Feedback. If you send us suggestions, we may use them without obligation to you.

15.5 Aggregated statistics. We may use counts and measurements of how the Service is used (for example, how many returns are prepared) that identify neither the Customer nor any person, to operate and improve the Service. We do not sell Customer Data or use it for advertising.

16. Confidentiality

16.1 Each party will keep the other's confidential information confidential, use it only to perform or exercise its rights under these Terms, and disclose it only to its employees, directors, advisers and sub-processors who need to know it and are bound by duties of confidentiality at least as strict. Customer Data is the Customer's confidential information.

16.2 This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or is lawfully received from a third party without restriction. A party may disclose confidential information when the law or a lawful order requires, after giving the other party notice where the law allows.

16.3 These duties continue for five years after the Subscription Term ends, and for Customer Data and trade secrets for as long as they remain confidential.

17. Warranties and disclaimer

17.1 What we promise. We will provide the Service with reasonable skill and care, substantially as described in the Service, and in compliance with the DPA and the laws that apply to us as a provider of the Service.

17.2 What we do not promise. Except as stated in section 17.1, and to the extent the law allows, the Service and Outputs are provided "as is" and "as available". We do not warrant that:

  • the Service will be uninterrupted or error-free;
  • any Output is complete, correct or fit for a particular filing, or will be accepted by BIR or pass BIR's validators;
  • the Service meets every requirement that applies to your business; or
  • the tax calendar lists every deadline or obligation that applies to you.

17.3 This section does not exclude any warranty that cannot be excluded under Philippine law.

18. Limitation of liability

18.1 Cap. Each party's total liability arising out of or relating to these Terms and the Service, whether in contract, quasi-delict or otherwise, is limited to the greater of the Fees the Customer paid to Mage under these Terms in the 12 months before the event that gave rise to the claim and fifty thousand pesos (PHP 50,000).

18.2 Excluded losses. Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings, even if told they were possible.

18.3 BIR penalties. Mage is not liable for any surcharge, interest, compromise penalty, deficiency tax, fine or other amount imposed by BIR or any government agency on the Customer or its Companies, except to the extent caused by Mage's gross negligence or wilful misconduct, which section 18.4 leaves outside these limits.

18.4 What is not limited. Nothing in these Terms limits or excludes liability for fraud (Civil Code, Article 1171), for gross negligence or wilful misconduct, for the Customer's obligation to pay Fees, or for any other liability that cannot be limited or excluded under Philippine law.

18.5 Basis of the bargain. The parties agree that these limits are reasonable, were taken into account in setting the Fees, and are a valid stipulation under Civil Code Article 1306.

19. Indemnity

19.1 By the Customer. The Customer will defend and indemnify Mage, its directors, officers and employees against third-party claims, and against fines imposed by a government authority, to the extent arising from (a) Customer Data, including the Customer's lack of a lawful basis to process Personal Data in it, (b) the Customer's or its Users' breach of section 8, or (c) the Customer's returns, filings, books and tax payments.

19.2 By Mage. Mage will defend and indemnify the Customer against third-party claims that the Service, used in line with these Terms, infringes that third party's intellectual property rights in the Philippines. If such a claim is made or likely, Mage may modify the Service so that it does not infringe, obtain a licence, or end the subscription and refund prepaid Fees for the unused period. This does not apply to claims caused by Customer Data, the official BIR forms, or use of the Service in combination with things we did not supply.

19.3 Procedure. The party seeking indemnity must promptly notify the other in writing, let it control the defence and settlement (no settlement may admit fault of the indemnified party without its consent), and give reasonable help at the indemnifying party's cost.

20. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, typhoons, floods, earthquakes, epidemics, war, civil unrest, government action, failure of the internet or of power or telecommunications networks, or outages of our infrastructure providers (Civil Code, Article 1174). This does not excuse the Customer's duty to pay Fees, or the Customer's own tax deadlines. The affected party must tell the other promptly and take reasonable steps to limit the effect. If the event lasts more than 30 days, either party may terminate on written notice, and Mage will refund prepaid Fees for the unused period.

21. Changes to these Terms

21.1 We may update these Terms. We will publish the new version at /legal/terms with its version date, and tell owners by email or in the Service at least 30 days before a change takes effect, unless the change is required sooner by law, in which case we will give as much notice as we can.

21.2 If a change materially reduces your rights, you may end your subscription under section 13.4 before it takes effect. Otherwise the new version applies from its effective date; continuing to use the Service after that date confirms your acceptance, and we may ask a User to accept the new version at sign-in.

22. Governing law and disputes

22.1 These Terms are governed by the laws of the Republic of the Philippines.

22.2 The parties will first try in good faith to settle any dispute by negotiation between senior representatives, starting with a written notice describing the dispute. If it is not settled within 30 days of that notice, either party may bring the dispute before the proper courts of Balanga City, to the exclusion of all other venues. This does not stop either party from seeking urgent provisional relief from any competent court.

23. General

23.1 Notices. We send notices to the email address of the Customer's owners in the Service (or the address in the Order Form). The Customer sends notices to legal@magetechsystems.com and, for notices of breach, termination or disputes, also by courier to our principal office address above. An email notice is received when it enters the recipient's mailbox, unless the sender receives a delivery failure, in line with the rules on the time of receipt of electronic data messages in RA 8792.

23.2 Entire agreement. These Terms, with the documents in section 1.5, are the entire agreement between the parties about the Service and replace all earlier proposals, understandings and communications, including statements on our website. Purchase order terms the Customer sends do not apply even if we accept the purchase order.

23.3 Assignment. The Customer may not assign these Terms without our written consent, which we will not unreasonably withhold. We may assign them to an affiliate or to a successor of our business on notice to the Customer.

23.4 Severability. If any provision is held invalid, the rest remains in force, and the invalid provision is replaced by a valid one as close as possible to the parties' intent.

23.5 No waiver. A failure or delay in enforcing a right is not a waiver of it.

23.6 Independent parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.

23.7 No third-party rights. These Terms are for the benefit of the parties only, except as stated in section 19.

23.8 Language. These Terms are written in English. Any translation is for convenience only.

Mage Technologies Inc. · Questions: support@magetechsystems.com · Privacy and data requests: dpo@magetechsystems.com

Mage Technologies Inc. is a software company, not an accounting firm. It does not provide accounting, audit or tax services, or give tax, accounting or legal advice.
