These terms apply to the free Excel-to-BIR tool on Mage's website (the Tool). They are an agreement between Mage Technologies Inc. (Mage, we, us) and you, the person using the Tool, and, if you use it for a business, that business (you). Please read them before you use the Tool. They explain that the Tool is free and provided as is (sections 3 and 13), that your files stay on your device (section 4), and what remains your responsibility under the tax laws (section 5).

About us. Mage Technologies Inc. is a corporation registered with the Securities and Exchange Commission. Its SEC Registration No. is 2022100072730-20. Its principal office is at Block 21 Lot 11 Mapagmahal St., Fiesta Communities, Brgy. Balon Anito, Mariveles, Bataan 2105. "Mage Accounting" is the name of our software service. Contact: support@magetechsystems.com.

1. These terms

1.1 How you accept. You accept these terms by ticking the box that says you have read and agree to them. The Tool makes no files until the box is ticked. Under the Electronic Commerce Act of 2000 (Republic Act No. 8792), an agreement made this way has the same effect as one in writing.

1.2 If you act for a business. If you use the Tool for a business, or for clients as a bookkeeper or accountant, you confirm that you may accept these terms for them.

1.3 Other documents. Our Privacy Policy explains the personal data we handle when you visit our website. The Terms of Service apply only to subscribers of Mage Accounting; see section 16.

2. What the Tool is

2.1 The Tool reads spreadsheets you prepare in Mage's Sales and Purchases templates and, from the rows in them and the details you type on the page, makes files you can download:

  • working copies of a sales journal and a purchase journal;
  • worksheets of the summary lists of sales and purchases, the payees for the quarterly alphalist of payees (QAP) and the annual alphalist (1604-E), and a value-added tax worksheet for BIR Form 2550Q; and
  • data files (DAT files) in the layouts of BIR's RELIEF and Alphalist modules.

Together these are the Outputs.

2.2 The Tool does the arithmetic the files need, such as taking value-added tax out of a VAT-inclusive amount and working out expanded withholding at the rate you give. It does not decide how a transaction is taxed: the VAT category, ATC and rate of each row, and how purchases are classified, are your choices.

3. Free, as is, and may change or end

3.1 The Tool is free. We do not charge for it and you do not need to buy anything to use it.

3.2 We provide the Tool as it is and as it is available. We may change it, limit it, pause it or withdraw it at any time, without notice, including the templates, the Outputs and their layouts.

4. No account; your files stay on your device

4.1 No account. You do not need to create an account or sign in to use the Tool.

4.2 Your files are processed in your browser. The Tool reads your spreadsheets, works out the figures and makes the Outputs inside your web browser, on your device. The contents of your spreadsheets, the details you type and the Outputs are not sent to Mage or to anyone else by the Tool. Mage does not receive, see, store or keep them, and cannot recover them for you.

4.3 What we do receive. Like any website, our servers and our hosting provider receive the ordinary requests your browser makes to load the Tool's page and its program code, including parts of the code it fetches when you first use them. These requests contain technical data such as your IP address and browser type, but none of your file contents. Our Privacy Policy explains how that technical data is handled.

4.4 Nothing is kept on the page. The Tool does not save your files, details or Outputs in your browser's storage. They stay in the open page until you close it, reload it or choose Clear everything. Files you download are saved where your browser puts them; they are then yours to keep safe (section 9).

5. Your responsibilities

You remain fully responsible for your own tax compliance and records. In particular, you are responsible for:

5.1 Your inputs. The accuracy and completeness of every row in your spreadsheets and every detail you type, including names, TINs, branch codes, addresses, your RDO code, dates and amounts. The Outputs are only as accurate as these inputs.

5.2 Tax classification. Choosing the VAT category of each row (vatable, exempt, zero-rated or not subject), the ATC and withholding rate, and how vatable purchases are classified (services, capital goods or other goods), and knowing whether you are VAT-registered and which returns and attachments you must file.

5.3 Reviewing every Output. Checking every figure in every Output against your invoices, receipts and records before you rely on it.

5.4 Validating DAT files. Running every DAT file through BIR's own validation modules (for example, RELIEF and the Alphalist Data Entry and Validation Module) before you submit it, and correcting any errors they report.

5.5 Filing and paying on time. Preparing, signing and filing your returns, and submitting DAT files and other attachments, through the channels BIR prescribes, and paying your taxes through BIR's authorised channels, all on time. You are responsible for any surcharge, interest, compromise penalty or other amount imposed for late, incomplete or incorrect filing or payment.

5.6 Keeping records. Keeping your own copies of your spreadsheets, the Outputs you use, your books of accounts, returns, proof of filing and payment, and supporting documents, for the periods the law requires.

6. What the Outputs are, and are not

6.1 Not filings. An Output is not a return, a filing or a submission to BIR. Making or downloading one files nothing.

6.2 Not accepted or validated by BIR. BIR has not reviewed, accepted, validated or approved any Output. A DAT file that the Tool marks as ready has passed only the Tool's own checks, which are not BIR's validation. BIR may change its forms, layouts and validation rules at any time, and an Output may not follow a change until we update the Tool, if we do.

6.3 Working copies, not registered books. The journals the Tool makes are working copies of your spreadsheet rows. They are not books of accounts. Books of accounts are registered with your Revenue District Office (RDO) in the form the National Internal Revenue Code and BIR's rules require, such as manual books, or loose-leaf books printed under BIR's permit. BIR does not accredit or approve accounting software. If you want to use pages like these as books, register them with your RDO first, under the rules that apply to you.

7. No support for the free Tool

7.1 For the free Tool, we have no obligation to answer questions about it, to support it, to correct or re-make any Output, to tell you about errors in it, or to keep any file it makes, because we never receive them. If you write to us about the free Tool, we may reply, but a reply does not create any obligation.

7.2 This section is only about the free Tool. It does not change the support, service or other commitments Mage makes to subscribers of Mage Accounting, which are set out in the Terms of Service (see section 16).

8. No advice; not affiliated with BIR

8.1 No advice. The Tool is software. Nothing in it, on its page or in any reply from us about it is tax, accounting, legal or other professional advice. Using the Tool does not make Mage your accountant, tax agent or adviser, and creates no professional or accountant-client relationship. Mage Technologies Inc. is a software provider: it is not registered to practise public accountancy and does not render accounting, auditing, bookkeeping or tax services (Republic Act No. 9298, the Philippine Accountancy Act of 2004). Consult your own certified public accountant, tax agent or lawyer about your situation.

8.2 Not affiliated with BIR. Mage is not affiliated with, endorsed by or acting for the Bureau of Internal Revenue. Nothing about the Tool means that BIR has approved it or any Output.

9. Personal data in your files, and your device

9.1 You control that data. Your spreadsheets may hold personal data about other people, such as the names, addresses and TINs of customers and suppliers who are individuals. For that data, you are the personal information controller under the Data Privacy Act of 2012 (Republic Act No. 10173). You must have a lawful basis to process it and must protect it.

9.2 Mage does not process it. Because the Tool works only in your browser (section 4), Mage does not collect, receive, store or otherwise process the personal data in your files, and is not your personal information processor for it.

9.3 Your device and your downloads. You are responsible for the security of the device and browser you use, including any browser extensions or other software on it that can read the page, and for keeping the files you download safe, sharing them only with people who should have them, and deleting them when you no longer need them.

10. Acceptable use

You must not:

  1. use the Tool for any unlawful purpose;
  2. use it to prepare fabricated invoices or receipts, false entries, a second set of books, or records meant to mislead BIR or anyone else (National Internal Revenue Code, Section 257), or to evade or help anyone evade taxes;
  3. put into it data you have no right to use;
  4. interfere with, overload or disrupt the Tool or our website, or try to get around its security or limits, including with automated requests; or
  5. present any Output as approved, accredited or certified by BIR or by Mage.

11. Other software

Spreadsheet programs such as Microsoft Excel, BIR's RELIEF and Alphalist modules, your browser and the other software you use with the Tool are not Mage's. Their own terms apply to them, and we are not responsible for them.

12. Intellectual property

12.1 Ours. Mage and its licensors own the Tool, its software, design, templates and documentation, and the names "Mage" and "Mage Accounting" and their logos. You may use the Tool and the templates for your own records and for your clients' records under these terms. No other rights are granted.

12.2 Yours. Your spreadsheets, the data in them and the Outputs made from them are yours. We claim no rights in them.

13. Disclaimer of warranties

To the extent Philippine law allows, the Tool, the templates and the Outputs are provided "as is" and "as available", without any warranty. We do not warrant that the Tool will work without interruption or error, that any Output is complete, correct or fit for a particular filing, or that any Output will be accepted by BIR or pass BIR's validation modules. This does not exclude any warranty that cannot be excluded under Philippine law.

14. Limitation of liability

14.1 To the extent Philippine law allows, Mage, its directors, officers and employees are not liable for any loss or damage arising out of or relating to the Tool, the templates or the Outputs, whether in contract, quasi-delict or otherwise. This includes:

  • any deficiency tax, surcharge, interest, compromise penalty, fine or assessment imposed by BIR or any other government agency;
  • loss of data, including files lost when a page is closed or cleared; and
  • indirect, incidental, special or consequential loss, and loss of profits, revenue, business or goodwill.

14.2 Nothing in these terms limits or excludes liability for fraud (Civil Code, Article 1171), bad faith, gross negligence or wilful misconduct, or any other liability that cannot be limited or excluded under Philippine law.

15. Indemnity

You will defend and indemnify Mage, its directors, officers and employees against third-party claims, and against fines imposed by a government authority, to the extent they arise from your breach of section 10, from the data you put into the Tool, or from your returns, filings, books and tax payments.

16. These terms and the Terms of Service

These terms cover only the free Tool. If you or your business also subscribes to Mage Accounting, the Terms of Service govern the subscription, and these terms continue to govern your use of the free Tool. Neither document changes the other.

17. Changes to these terms

We may update these terms. We will publish the new version on this page with its version date. The version in effect when you tick the agreement box applies to that use of the Tool.

18. Governing law and disputes

18.1 These terms are governed by the laws of the Republic of the Philippines.

18.2 We will both first try in good faith to settle any dispute by negotiation, starting with a written notice describing it. If it is not settled within 30 days of that notice, either of us may bring it before the proper courts. Those courts are the courts of Balanga City, to the exclusion of all other venues. This does not stop either of us from seeking urgent provisional relief from any competent court.
